Terms of Service

Welcome to Co-PI. These Terms of Service ("Terms") govern your access to and use of the websites, applications, software, tools, features, and related services provided by Co-PI Labs, Inc. ("Co-PI," "Company," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility

You may use the Services only if you are legally capable of entering into a binding contract and are not prohibited from using the Services under applicable law.

If you access or use the Services on behalf of a company, university, institution, laboratory, or other organization, you represent and warrant that you are authorized to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that entity.

2. The Services

Co-PI provides an AI-native scientific workspace that may include electronic lab notebook functionality, computational notebooks, code execution environments, data analysis and visualization tools, project organization features, literature and information synthesis features, and AI-generated assistance for scientific and technical workflows.

The Services may allow you to submit prompts, notes, data, files, code, text, images, experimental content, and other materials ("Inputs") and may generate responses, analyses, code, visualizations, summaries, recommendations, and other materials based on those Inputs ("Outputs").

The Services are provided for general research, documentation, productivity, computational, and informational purposes only. They are not a substitute for independent scientific judgment, institutional review, safety review, legal review, regulatory review, ethical oversight, or professional advice.

We may modify, update, suspend, or discontinue any part of the Services at any time, including features, functionality, models, integrations, pricing, usage limits, or availability.

3. Account Registration and Security

To access certain features, you may need to create an account. You agree to provide accurate, complete, and current account information and to keep it updated.

You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • all activity occurring under your account;
  • ensuring that only authorized users access your account;
  • ensuring that any team members you invite comply with these Terms; and
  • promptly notifying us of any suspected unauthorized access, security incident, or misuse.

We are not liable for any loss or damage arising from your failure to safeguard your credentials or comply with these Terms.

4. Acceptable Use

You may use the Services only in compliance with these Terms and applicable law. You may not, and may not permit any third party to, use the Services for any unlawful, harmful, infringing, abusive, fraudulent, malicious, or otherwise unauthorized purpose.

Without limitation, you may not use the Services to:

4.1 Illegal or Unauthorized Conduct

  • violate any law, regulation, rule, or court order;
  • infringe, misappropriate, or otherwise violate any intellectual property right, privacy right, confidentiality obligation, publicity right, trade secret, or other right of any person or entity;
  • engage in fraud, deceptive practices, impersonation, or misrepresentation; or
  • use the Services in violation of institutional, contractual, funding, or regulatory obligations.

4.2 Malicious Technical Activity

  • upload, transmit, create, store, execute, or distribute malware, ransomware, spyware, viruses, worms, Trojan horses, logic bombs, cryptominers, or other malicious or harmful code;
  • probe, scan, exploit, attack, or test the vulnerability of the Services or any related system or network without our express prior written authorization;
  • attempt to gain unauthorized access to accounts, data, systems, infrastructure, environments, or networks;
  • interfere with or disrupt the integrity, security, performance, or availability of the Services;
  • circumvent or attempt to circumvent any security, authentication, sandboxing, access, or usage restrictions; or
  • use the Services for denial-of-service activity, credential attacks, unauthorized automation, scraping, bulk extraction, or other abusive activity.

4.3 Scientific Misuse and Harmful Research

  • use the Services to design, optimize, facilitate, enable, or support unlawful, harmful, unethical, or dangerous scientific activity;
  • use the Services in connection with the development, production, handling, testing, acquisition, or dissemination of pathogens, toxins, harmful biological agents, hazardous chemicals, controlled substances, weapons, or any other harmful or regulated materials in violation of law or accepted ethical and safety standards;
  • use the Services to evade biosafety, biosecurity, animal welfare, human subjects, clinical, laboratory, or regulatory requirements;
  • use the Services for scientific misconduct, including fabrication, falsification, plagiarism, deceptive reporting, concealment of negative results, or improper data manipulation; or
  • rely on the Services as a substitute for required scientific validation, safety controls, institutional oversight, or regulatory review.

4.4 Platform Abuse

  • use the Services to compete with, benchmark, replicate, scrape, harvest, extract, reverse engineer, or build competing services using the Services, except to the limited extent such restriction is prohibited by applicable law;
  • resell, sublicense, lease, or commercially exploit the Services except as expressly authorized by us in writing; or
  • overload, degrade, or impair the Services or interfere with any other user's access or use.

We may investigate suspected violations of this Section and may suspend or terminate your access, remove content, preserve evidence, and cooperate with law enforcement, regulators, institutions, and third parties as we deem appropriate.

5. User Content and Ownership

You retain ownership of the Inputs, files, data, notebooks, protocols, experimental data, code, figures, and other content you submit to the Services ("User Content"), subject to the rights you grant to us in these Terms.

You are solely responsible for:

  • the legality, accuracy, integrity, quality, and reliability of your User Content;
  • obtaining all necessary rights, permissions, consents, and approvals to upload, use, and share your User Content through the Services;
  • ensuring that your use of the Services complies with applicable law, contractual obligations, institutional policies, and professional standards; and
  • independently reviewing, testing, validating, and verifying any Outputs before relying on, sharing, publishing, filing, or acting on them.

You represent and warrant that:

  • you own or control all rights necessary to provide your User Content to the Services;
  • your User Content and your use of the Services do not violate these Terms or any applicable law or third-party rights; and
  • you will not submit any content that you are not authorized to disclose, process, or use.

6. License to Co-PI

To operate, provide, maintain, support, secure, and improve the Services, you grant Co-PI a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, process, transmit, display, and otherwise use your User Content solely as necessary to:

  • provide and operate the Services;
  • maintain security, prevent abuse, and enforce these Terms;
  • perform troubleshooting, debugging, and support;
  • comply with legal obligations; and
  • improve the performance, reliability, safety, and functionality of the Services.

If you use collaborative or team features, you acknowledge that your User Content may be shared with users you authorize within those environments.

7. Sensitive, Confidential, and Regulated Data

Scientific and research data may be sensitive, confidential, proprietary, regulated, or export-controlled. You are solely responsible for determining whether the Services are appropriate for your intended use and data.

Unless we expressly agree otherwise in writing, you must not upload, store, process, or transmit through the Services:

  • protected health information or other information subject to HIPAA or similar health privacy laws;
  • information subject to ITAR, EAR, or other export-control restrictions if your use would violate applicable law;
  • classified information, controlled government information, or information subject to special handling requirements;
  • highly sensitive credentials, private keys, secrets, or access tokens; or
  • any data that requires contractual, technical, or regulatory protections not expressly provided by Co-PI.

You are responsible for de-identification, consent, permissions, and legal compliance for any data you submit.

8. AI Outputs and Scientific Disclaimer

The Services use AI and automated systems that may generate inaccurate, incomplete, misleading, outdated, biased, non-unique, or inappropriate Outputs.

You acknowledge and agree that:

  • Outputs are provided for informational and productivity purposes only;
  • Outputs do not constitute scientific fact, validated analysis, legal advice, medical advice, clinical advice, regulatory advice, biosafety advice, or any other professional advice;
  • similar or identical Outputs may be generated for other users;
  • AI-generated code, calculations, analyses, summaries, interpretations, citations, and recommendations may contain errors; and
  • you are solely responsible for evaluating, testing, validating, and verifying all Outputs before relying on them.

You must not rely on the Services or any Output as the sole basis for:

  • laboratory safety decisions;
  • clinical or patient-related decisions;
  • animal or human subjects decisions;
  • regulatory submissions;
  • publication claims without verification;
  • intellectual property or freedom-to-operate conclusions; or
  • high-risk scientific, technical, or commercial decisions.

Co-PI does not warrant that any Output is accurate, reproducible, publication-ready, patentable, non-infringing, or fit for your intended purpose.

9. Code Execution and Computational Features

If the Services include code generation, code execution, notebook environments, scripting tools, package installation, or other computational features, you acknowledge that generated or executed code may contain bugs, vulnerabilities, destructive behavior, or security risks.

You agree not to use the Services to:

  • run or attempt to run malicious code;
  • exfiltrate data;
  • evade platform restrictions;
  • establish persistence or unauthorized access;
  • attack or test systems or networks without authorization; or
  • consume excessive resources in a manner that disrupts the Services.

We may impose technical limitations, monitor usage for abuse prevention and security, suspend workloads, block executions, or disable features as reasonably necessary to protect the Services and other users.

You are solely responsible for reviewing and testing any code or computational workflow before using it in any environment.

10. Research Integrity, Safety, and Compliance

You are solely responsible for ensuring that your use of the Services complies with all laws, regulations, standards, and obligations applicable to your work, including, where relevant:

  • biosafety and biosecurity requirements;
  • animal welfare and human subjects requirements;
  • institutional review and ethics requirements;
  • GLP, GCP, GMP, CLIA, CAP, and similar standards;
  • grant, sponsor, and publication obligations; and
  • recordkeeping, disclosure, and data governance requirements.

Use of the Services does not replace required oversight, supervision, review, validation, approvals, or compliance processes.

11. Fees, Billing, and Payment

Co-PI may offer free and paid plans. If you purchase a paid subscription or other paid Services, you agree to pay all fees, charges, and applicable taxes associated with your use of the Services.

Unless otherwise stated:

  • fees are quoted and payable in U.S. dollars;
  • payments are non-refundable except as required by law;
  • subscriptions automatically renew until canceled;
  • you authorize us and our payment processors to charge your payment method on a recurring basis;
  • we may change pricing upon prior notice; and
  • failure to pay may result in suspension or termination of access.

You are responsible for all taxes, duties, and governmental assessments associated with your purchase or use of the Services, excluding taxes based on Co-PI's net income.

12. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time, with or without notice, if:

  • you violate these Terms;
  • we suspect fraud, abuse, malicious conduct, or security risk;
  • your use creates risk to us, the Services, other users, or third parties;
  • required by law, court order, or government authority; or
  • we discontinue the Services or a feature.

You may stop using the Services at any time.

Upon termination, your right to access and use the Services will cease immediately. We may delete or disable access to User Content in accordance with our data retention practices, operational needs, and legal obligations.

Sections that by their nature should survive termination will survive, including Sections relating to ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms.

13. Intellectual Property

The Services, including all software, models, workflows, interfaces, visual design, branding, trademarks, content, documentation, and underlying technology, are owned by Co-PI or its licensors and are protected by intellectual property and other laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

Subject to your compliance with these Terms, Co-PI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal lawful use.

14. Feedback

If you provide suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback about the Services ("Feedback"), you grant Co-PI a worldwide, perpetual, irrevocable, royalty-free, fully paid-up right to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit that Feedback for any purpose without restriction or compensation to you.

15. Third-Party Services

The Services may incorporate, interoperate with, or rely on third-party services, infrastructure providers, software, APIs, repositories, databases, or content. We do not control and are not responsible for any third-party service or content.

Your use of third-party services may be subject to separate terms and policies. Co-PI is not liable for any act, omission, failure, or damage caused by third-party providers or services.

16. Privacy and Security

Our collection and use of personal information is described in our Privacy Policy.

While we take reasonable measures designed to protect the Services and user data, no system is completely secure. You acknowledge that transmission, storage, and processing of data over the internet involve inherent risks, including unauthorized access, corruption, delay, and loss.

You are responsible for implementing your own internal review, access controls, backup practices, and security measures appropriate to the sensitivity of your work and data.

17. Availability and Changes to the Services

We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times, or that any content or data will be preserved without loss.

We may modify, update, suspend, or discontinue any part of the Services at any time, including features, functionality, models, integrations, pricing, usage limits, or availability.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, OUTPUTS, AND ALL RELATED FUNCTIONALITY ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

CO-PI DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Co-PI does not warrant that:

  • the Services or Outputs will be accurate, complete, current, reliable, secure, or error-free;
  • the Services will meet your needs or expectations;
  • the Services will be uninterrupted or free from harmful components;
  • code or computational outputs will be safe, functional, or secure;
  • scientific or technical outputs will be reproducible, validated, publication-ready, or regulatorily acceptable; or
  • use of the Services will prevent data loss or satisfy any legal, scientific, or recordkeeping obligation.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CO-PI, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, DATA, SCIENTIFIC RESULTS, RESEARCH OUTPUT, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CO-PI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CO-PI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations apply regardless of the form of action and even if any remedy fails of its essential purpose.

20. Indemnification

You agree to defend, indemnify, and hold harmless Co-PI, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your access to or use of the Services;
  • your User Content, Inputs, or Outputs;
  • your violation of these Terms;
  • your violation of any law, regulation, institutional policy, or third-party rights; or
  • any allegation that your use of the Services, User Content, or downstream scientific or technical activity caused harm, misuse, infringement, misconduct, security issues, injury, or regulatory noncompliance.

21. Export Control and Sanctions

You may not use, access, export, re-export, or otherwise transfer the Services in violation of applicable export control, sanctions, or trade laws and regulations.

You represent and warrant that you are not:

  • located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions; or
  • a person or entity with whom U.S. persons are prohibited from dealing.

22. Mandatory Arbitration and Class Action Waiver

Please read this Section carefully. It affects your legal rights.

22.1 Agreement to Arbitrate

To the fullest extent permitted by applicable law, you and Co-PI agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Co-PI, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, will be resolved by final and binding arbitration, rather than in court, except as provided below.

22.2 Informal Resolution First

Before initiating arbitration, the party seeking relief must first send the other party a written notice of the dispute describing the nature of the claim and the relief sought. If you have a dispute with Co-PI, you must send notice to: legal@copilabs.ai.

The parties agree to attempt to resolve the dispute informally for at least thirty (30) days after notice is received before arbitration may be initiated.

22.3 Arbitration Procedure

If the dispute is not resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable consumer or commercial arbitration rules, as applicable.

The arbitration will be conducted in English by a single arbitrator. The seat of arbitration will be Delaware, unless otherwise required by applicable law. The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction may determine issues relating to the enforceability of the class action waiver below.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

22.4 Exceptions

Nothing in this Section prevents either party from:

  • bringing an individual claim in small claims court if it qualifies;
  • seeking injunctive or equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or security rights; or
  • seeking temporary or preliminary relief in court to prevent imminent harm.

22.5 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CO-PI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MASS, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING.

Unless both you and Co-PI agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, representative, or mass proceeding.

22.6 Jury Trial Waiver

To the fullest extent permitted by law, you and Co-PI waive any right to a jury trial in any proceeding arising out of or relating to these Terms or the Services.

22.7 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@copilabs.ai within thirty (30) days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, the remaining provisions of these Terms will continue to apply.

22.8 Enforceability

If the class action waiver in this Section is found unenforceable as to any claim or request for relief, then that claim or request for relief will be severed and may be brought in court, but all other claims will remain subject to arbitration to the fullest extent permitted by law.

23. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent federal law governs arbitration or otherwise preempts state law.

Subject to the arbitration provisions above, any action that may properly be brought in court will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

24. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on the Services, updating the "Last Updated" date, or by other reasonable means.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

25. General Terms

These Terms, together with our Privacy Policy and any other supplemental terms or order forms that apply to the Services, constitute the entire agreement between you and Co-PI regarding the Services.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

Co-PI's failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.

You may not assign or transfer these Terms without our prior written consent. Co-PI may assign these Terms without restriction in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
